Digital Business Card & Profile Service AgreementThis Service Agreement ("Agreement") is made and entered into by and between purchaser ("Customer") and Hilyte.club ("Company"), effective as of the date of purchase of the NFC chipped card and annual subscription for hosting of business & marketing sites & profiles.1. Services. Company agrees to provide Customer with an NFC chipped card and an annual subscription for hosting of business profiles ("Services") for the duration of the subscription term, subject to the terms and conditions of this Agreement.
2. Payment. Customer agrees to pay the subscription fee for the Services upon purchase. The subscription fee is non-refundable unless a site had not been created and delivered to Customer.
3. Cancellation. Customer may cancel the subscription by providing written notice to Company at least 15 days prior to the renewal date. If Customer cancels the subscription after the renewal date, Customer will be responsible for the full subscription fee for the subscription term.
4. No Refunds. Customer acknowledges that the subscription fee is non-refundable, and no refunds will be provided for any reason other than for non creation/delivery of card/profile to Customer.
5. Card Ownership. Customer is responsible for the proper use and safekeeping of the NFC chipped card and will not be replaced for any reason. If a cards is lost, stolen, damaged or otherwise, Customer is responsible for purchasing another.
6. Termination. Company may terminate this Agreement immediately upon written notice to Customer if Customer breaches any provision of this Agreement.
7. Limitation of Liability. Company's liability to Customer for any claim arising out of or related to this Agreement shall be limited to the amount of the subscription fee paid by Customer.
8. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state where the Company is located.
9. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
10. Modification. This Agreement may be modified only by a written instrument executed by both parties.
